Solution License Agreement

1. Grant of License:

1.1 Subject to the terms and conditions of this Agreement, and upon Licensee’s purchase of the applicable license or subscription fees, Lanteria Dynamics Inc dba Dyneria (“Licensor”) hereby grants to the user (“Licensee”) a non-exclusive, non-transferable, paid license to install and use ©Dyneria Smart Works (“Software”) in accordance with the scope, duration, and usage limits specified in the purchased license.

1.2 This license is granted solely for Licensee’s internal business purposes (or personal use, if applicable). Licensee may not sublicense, distribute, sell, lease, or otherwise transfer the Software to any third party unless explicitly permitted under a separate written agreement with Licensor.

2. Restrictions:

2.1 Licensee shall not modify, adapt, translate, reverse engineer, decompile, or disassemble the Software, nor shall Licensee create derivative works based upon the Software.

2.2 Licensee shall not remove or alter any copyright notices, trademarks, or other proprietary rights notices contained within the Software.

3. Ownership:

3.1 Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein.

4. No Warranty:

4.1 The Software is provided “as is” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

5. Limitation of Liability:

5.1 In no event shall Licensor be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of or in connection with the use or performance of the Software.

6. Termination:

6.1 Licensor reserves the right to terminate this license at any time if Licensee fails to comply with any term of this Agreement. Upon termination, Licensee shall cease all use of the Software and destroy all copies thereof.

7. Governing Law:

7.1 This Agreement shall be governed by and construed in accordance with the laws of Canada, ON, without regard to its conflict of laws principles.
